Semper Nexus Referral Program Terms
Plain-language partner agreement. Effective May 2026.
1. The Parties
This Referral Program Agreement is between Semper Solutus LLC ("Semper Solutus," "we," "us," "our") and the individual or entity who applies to and is approved as a referral partner ("Partner," "you," "your"). By applying to the program, accepting your Partner ID, or submitting a referral, you agree to these terms.
2. What Semper Solutus Does
Semper Solutus is a veteran-owned medical documentation provider. We produce MD-authored Nexus letters, independent medical opinions (IMOs), and psychological evaluations used as medical evidence by veterans, attorneys, and accredited VA agents in connection with VA disability claims.
Important: Semper Solutus is not a VA-accredited claims representative, attorney, or agent. We do not prepare, present, or prosecute VA claims for compensation. Our service is the medical documentation only. The veteran (or their accredited representative) submits the claim and the VA decides it.
3. What Partners Refer Veterans For
Partners refer veterans for Semper Solutus's medical documentation services — including the Semper Nexus Program — not for VA claims representation. You may describe the work as medical opinions, Nexus letters, IMOs, or psychological evaluations. You may not describe Semper Solutus as a claims rep, agent, attorney, "VSO," or anything implying we represent veterans before the VA.
4. What Partners May Say
- Semper Solutus is veteran-owned and produces MD-authored Nexus letters and medical opinions.
- Turnaround targets that are accurate at the time you reference them (e.g., the published 7-day average).
- That the veteran will receive a free consultation to assess fit.
- That Semper Solutus offers free revisions on its documentation work.
- Honest, accurate descriptions of your own personal experience with Semper Solutus.
5. What Partners May Not Say
- You may not guarantee, promise, suggest, or imply any specific VA disability rating, percentage, approval, monetary outcome, or claim decision.
- You may not describe yourself, Semper Solutus, or its team as VA-accredited unless that is independently and verifiably true of you personally.
- You may not charge the veteran a separate fee for the referral itself.
- You may not represent the veteran before the VA on a claim unless you are independently accredited under 38 CFR Part 14 and acting in that separate capacity.
- You may not spam, mass-message strangers, or use deceptive practices (fake reviews, fake testimonials, impersonating Semper Solutus staff, etc.).
- You may not contact veterans you reasonably know to be currently represented by another VA-accredited rep without their representative's knowledge.
6. Referral Attribution
You earn commission when a veteran signs up for a qualifying Semper Solutus paid service (the Semper Nexus Program or any other paid service designated as commissionable) and we can clearly attribute that signup to you. Attribution happens one of two ways:
- Tracked link. The veteran arrived through your unique partner link (e.g.,
sempersolutus.com/refer?p=YOUR-ID) and submitted intake. - Named on intake. The veteran identified you by name and we can verify the attribution (e.g., you submitted them via the partner portal, or they reference your name and ID at intake).
If two partners both claim credit for the same veteran, we attribute to whichever came first by timestamp in our system. We retain final discretion to resolve attribution disputes.
7. Commission Schedule
- $100 per qualified signup. Paid for each veteran who signs up for a qualifying paid Semper Solutus service through your attribution.
- $500 bonus every 5 qualified signups. Stacks. Uncapped. (5 signups = $1,000 total, 10 signups = $2,000 total, etc.)
- 14-day payout window. Commissions are released within 14 days of a qualified signup being confirmed in our system (after any applicable trial / refund / chargeback period has cleared).
- Payment methods: Zelle, Venmo, PayPal, Cash App, Wise, or paper check — you choose on the application.
8. Qualified Signup Definition
A "qualified signup" means a veteran who: (a) was attributed to you under Section 6, (b) signed up for a qualifying paid Semper Solutus service, (c) is not a refund / chargeback / cancellation within the applicable cooling-off period, and (d) is not a duplicate of an existing Semper Solutus client previously in our system. Semper Solutus reserves the right to designate which services are commissionable and to update that designation prospectively.
9. Reversed or Withheld Commissions
If a qualified signup is reversed (refund, chargeback, fraud, duplicate, undisclosed prior relationship, or violation of these terms), any associated commission may be reversed, withheld, or deducted from your pending balance. Bonuses that were paid based on a count that included a reversed signup may also be adjusted.
10. Taxes and W-9
You are responsible for your own taxes on referral income. If your lifetime payouts reach $600 in a calendar year, we will request a Form W-9 and issue a Form 1099-NEC for that year, as required by U.S. tax law. Semper Solutus does not provide tax, legal, or financial advice — please consult your own professional.
11. Independent Contractor Status
You are an independent contractor, not an employee, agent, joint venturer, or partner of Semper Solutus. You have no authority to bind Semper Solutus, set its prices, or commit it to any obligation. You are solely responsible for your own conduct, taxes, insurance, and any contractual or legal obligations you have to others.
12. Confidentiality and Privacy
You may receive non-public information about veterans you refer (names, phone numbers, email addresses, etc.). You agree to (a) only use that information to make the referral and stay in contact with the veteran where appropriate, (b) not share, sell, or repurpose it, and (c) handle it consistently with applicable privacy laws. Health information shared with Semper Solutus is handled per our Privacy Policy.
13. Use of Marks
Semper Solutus grants you a limited, revocable, non-exclusive license to use the Semper Solutus name, logo, and approved marketing materials (the flier, your unique link, approved social posts) solely for referring veterans to the program. You may not modify the logo, use it on competing services, register a similar mark, or create marketing materials that imply you are Semper Solutus or speak on its behalf without written approval.
14. Inactivity
If 90 days pass with no qualified referral submitted, your partner status may be moved to "Inactive." You can be reactivated by submitting a new referral or contacting us — no penalty.
15. Termination
Either party may end this agreement at any time, with or without cause, by written notice (email counts). Semper Solutus may also suspend or terminate immediately for cause, including any violation of Section 5, fraud, misrepresentation, or any conduct we reasonably believe harms veterans or the program. Pending qualified commissions earned in good faith before termination will still be paid; bonuses pending due to a count that included disqualified signups may be adjusted.
16. No Endorsement of Outside Services
Joining the program does not make you a Semper Solutus employee or contractor for any purpose other than referring veterans, and does not endorse any other product or service you sell. You may not bundle Semper Solutus into a paid package or course you sell without our prior written approval.
17. Disclaimers and Limitation of Liability
The referral program is offered "as is." To the maximum extent permitted by law, Semper Solutus disclaims all warranties not expressly stated here, and our aggregate liability to you under this agreement is limited to the commissions actually earned and owed to you. Nothing in this agreement limits liability that cannot be limited under applicable law.
18. Changes to the Program
We may update commission amounts, bonus structures, qualifying services, and these terms going forward. We will give partners reasonable notice (email) of material changes. Commissions already earned before a change will be honored under the prior terms.
19. Governing Law
This agreement is governed by the laws of the State of Georgia, USA, without regard to its conflict-of-laws rules. Any dispute will be resolved exclusively in the state or federal courts located in Camden County, Georgia, and the parties consent to that jurisdiction.
